LLP vs Pvt Ltd — which should I choose?
Choose LLP if you want lower compliance (no mandatory audit until ₹40L turnover, simpler annual filings), pass-through-style flexibility, and don't plan to raise venture capital. Choose Pvt Ltd if you'll raise institutional money, want to issue ESOPs, or anticipate complex equity rounds. LLPs can't issue shares.
Why does LLP pricing vary by state?
The stamp duty on the LLP agreement is set by each state government and varies enormously — from ₹100 in many North-East states to ₹5,000 in Karnataka and Kerala. Government MCA fees (₹1,000), DSC charges (₹3,400 for 2 partners), and our service fee (₹2,000) are constant across India.
Why are LLP fees lower in some states (e.g. NE states)?
Several states (Arunachal Pradesh, Manipur, Mizoram, Nagaland, Tripura, Sikkim, Himachal Pradesh, Meghalaya, Assam) charge a flat ₹100 stamp duty on LLP agreements regardless of capital. Karnataka and Kerala charge ₹5,000 — the highest in our table.
How many designated partners are required?
Minimum 2. At least one must be ordinarily resident in India (stayed 182+ days in the previous year). All designated partners need a DPIN (Designated Partner Identification Number) and a DSC.
What is the capital contribution?
There's no minimum capital for an LLP — you can start with ₹1. The pricing in our state table assumes a capital contribution of up to ₹1,00,000. Larger contributions may attract additional stamp duty in some states.
Does the LLP need an audit?
Audit is required only if turnover exceeds ₹40 lakh or capital contribution exceeds ₹25 lakh. Most early-stage LLPs operate below this threshold and skip the audit, reducing compliance cost.
Can I convert an LLP to a Pvt Ltd later?
Yes. Conversion is allowed under MCA rules — useful if you start as an LLP for simplicity and later need to raise institutional capital. We can handle the conversion as a separate service.
What about stamp paper — do I have to source it myself?
For Maharashtra, we arrange and provide the stamp paper at no extra cost. For all other states, you'll need to purchase the relevant stamp paper locally — we provide a guide with the exact denominations and authorised vendors during your application.
Can I get a refund if I change my mind?
