Can a single person form a Pvt Ltd?
No — an Indian Pvt Ltd requires a minimum of 2 directors and 2 shareholders. If you're a solo founder, consider an OPC (One Person Company) or LLP instead.
What's the difference between authorised and paid-up capital?
Authorised capital is the maximum the company can ever issue (you can increase later). Paid-up capital is what shareholders actually invest. Typical: ₹1,00,000 authorised, ₹1,00,000 paid-up to start. Higher authorised capital attracts higher MCA fees and stamp duty.
What is DIN and DSC?
DIN = Director Identification Number (a unique 8-digit ID for every director). DSC = Digital Signature Certificate (required to sign filings electronically). Every director needs both. We include 2 DSCs and 2 DINs in our Starter plan.
Do I need PAN cards for all directors?
Yes — every Indian director must have a PAN before MCA accepts the application. Foreign directors can apply for an India PAN; we can help.
What annual compliance is required?
Annual ROC filings (AOC-4 + MGT-7), board meetings, audited financial statements, and income tax returns. Our Premium plan covers ROC filings + bookkeeping + GST returns for the first 12 months. After year one, ongoing compliance typically costs ₹15,000–25,000/year depending on complexity.
How long does incorporation take?
7–14 business days from receiving complete documents. Name approval: 1–2 days. SPICe+ form filing: 1–2 days. MCA approval + certificate: 5–10 days. PAN and TAN are issued alongside.
Can foreign nationals be directors or shareholders?
Yes, with conditions. At least one director must be an Indian resident (stayed 182+ days in India). 100% foreign shareholding is allowed in most sectors under FDI rules. We can guide based on your activity.
What about GST registration?
GST registration is mandatory if turnover exceeds ₹40 lakh (₹20 lakh for services). Below that, voluntary registration is common to issue tax invoices. Our Pro plan includes GST registration.
Can I get a refund if I change my mind?
