Terms & Conditions

These Terms and Conditions (“Terms”) govern your use of SimplySetup (the “Service”), operated by SimplySetup Pvt Ltd (India) / Aspera Pte Ltd (Singapore)(“we”, “us”, “our”) and accessible at flow.simplysetup.com. By creating an account or placing an order you agree to these Terms.

1. The service

SimplySetup helps founders incorporate companies across the United States, United Kingdom, Singapore, the United Arab Emirates, and India, and offers related add-on services such as virtual office, bank account opening assistance, and compliance support.

We act as a service provider that prepares and files documents on your behalf with the relevant government registries. We are not a law firm or chartered accountancy and do not provide legal, tax, or investment advice.

2. Account & eligibility

  • You must be at least 18 years old and legally able to enter into a contract.
  • You must provide accurate personal and business details.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • One natural person may operate multiple accounts only with our prior consent.

3. Pricing & payment

  • All prices are shown on the customer flow at the time of order. India state-pricing breakdowns are shown line-by-line on the Plan page.
  • You can pay in USD via Stripe or in INR via Razorpay. Payment processors handle card data directly; we never store payment instrument details.
  • Prices include applicable service fees but exclude any incremental government, registry, or third-party fees that are itemised at the point of sale.
  • Add-on services are charged at the price displayed when you add them. Price changes do not affect orders that have already been confirmed.

4. Customer obligations

  • Provide complete, accurate, and up-to-date information including KYC documents (ID proof, address proof, PAN, etc.).
  • Respond to clarification requests in a timely manner; delays on your side may extend delivery timelines.
  • Use the service only for lawful purposes — not to register entities for fraud, money laundering, or any activity prohibited under applicable law.

5. Government fees & third-party services

Some fees in your invoice are statutory amounts paid directly to government authorities (e.g. MCA, Companies House, IFZA) or to third-party providers (e.g. Digital Signature Certificates, registered office providers, nominee directors). These fees are non-refundable once paid out on your behalf.

6. Cancellation & refunds

Cancellation and refund eligibility is governed by our Cancellation & Refund Policy, which forms part of these Terms.

7. Intellectual property

All content, software, branding, and documentation on SimplySetup are owned by SimplySetup Pvt Ltd (India) / Aspera Pte Ltd (Singapore) or our licensors and are protected by intellectual property laws. You may not copy, modify, reverse engineer, or redistribute any part of the Service without written permission.

Documents we deliver to you (incorporation certificates, EIN/PAN letters, operating agreements, etc.) become yours to use for your business.

8. Limitation of liability

To the maximum extent permitted by law, SimplySetup is not liable for indirect, incidental, special, or consequential damages arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the amount you paid SimplySetup for the specific order giving rise to the claim.

We do not guarantee filing approval — final approval is at the discretion of the relevant government authority. We will keep you informed at every stage.

9. Data & privacy

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your information.

10. Termination

We may suspend or terminate accounts that violate these Terms or applicable law. You may delete your account at any time by writing to sales@simplysetup.co. Some information may be retained for legal and compliance reasons (see the Privacy Policy).

11. Governing law & jurisdiction

These Terms are governed by the laws of India. Any dispute will be subject to the exclusive jurisdiction of the courts of Pune, Maharashtra.

12. Changes

We may update these Terms from time to time. Material changes will be notified to you by email or via the dashboard at least 7 days before they take effect.
